Killie turned down a £100,000 bid from the Sky Bet League One club on Saturday but Charlton returned with a more tempting proposal.
The 25-year-old is in the final season of his contract and has told Killie he is set on a move to England. Manager Lee Clark told the Kilmarnock Standard:
"The deal has been agreed by the two clubs, that's where we are at at the moment. By all accounts Josh is now going down to speak to Charlton and have a medical.''
Magennis scored 20 goals in his first two seasons at Kilmarnock after moving from Aberdeen, where he played in midfield, right-back and up front and was loaned to St Mirren.
The former Cardiff player, who was a goalkeeper in the Bluebirds youth team, scored in Northern Ireland's historic 3-1 win over Greece last season, which clinched a Euro 2016 place.
He played three times in France, helping set up Niall McGinn's goal in the 2-0 victory over Ukraine.
